These Terms of Service ("Terms") govern your use of WhenWorks, a scheduling service operated by Second Shift Ventures ("we," "us," or "our"). By accessing or using WhenWorks at www.whenworks.cc, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing and using WhenWorks, you accept and agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree to these Terms, you may not use our service. If you are using the service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

WhenWorks provides an online scheduling and group planning tool that allows users to create polls, share availability, and coordinate meetings. We offer both a free tier and a paid subscription tier (WhenWorks Pro) with additional features.

3. User Accounts

To access certain features, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized account access
  • Accept responsibility for all activities under your account

You must be at least 16 years old (or 13 in the United States) to create an account.

4. Subscriptions and Payments

WhenWorks Pro is available as a paid subscription. By subscribing, you agree to:

  • Pay all fees associated with your subscription plan
  • Provide valid payment information
  • Authorize recurring charges until you cancel

Subscription fees are billed in advance on a monthly or annual basis depending on your plan. Prices are subject to change with 30 days' notice.

5. Refund Policy

We offer a 7-day refund policy for WhenWorks Pro subscriptions:

  • You may request a full refund within 7 days of your initial subscription purchase or renewal
  • To request a refund, contact us at support@secondshiftventures.com with your account email and reason for the refund
  • Refunds are processed within 5-10 business days to your original payment method
  • After 7 days, no refunds will be issued, but you may cancel your subscription to prevent future charges
  • Refunds are limited to one per customer per 12-month period

6. Cancellation

You may cancel your WhenWorks Pro subscription at any time from your account settings. Upon cancellation:

  • You will retain access to Pro features until the end of your current billing period
  • No further charges will be made after cancellation
  • Your account will revert to the free tier after the billing period ends
  • Your poll data will be retained unless you request deletion

7. Acceptable Use

You agree not to use WhenWorks to:

  • Violate any applicable laws or regulations
  • Infringe on the rights of others
  • Send spam, phishing attempts, or malicious content
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the service
  • Use automated systems to access the service without permission
  • Collect user information without consent

8. Content and Intellectual Property

Your Content: You retain ownership of content you create (polls, descriptions, etc.). By using WhenWorks, you grant us a non-exclusive, worldwide, royalty-free license to store, display, and transmit your content as necessary to provide the service.

Our Content: WhenWorks, including its design, features, and code, is owned by Second Shift Ventures and protected by intellectual property laws. You may not copy, modify, or distribute our service without permission.

9. Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your information.

10. Termination

We may suspend or terminate your access to WhenWorks at any time, with or without cause, including for:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Non-payment of subscription fees
  • Extended periods of inactivity

Upon termination, your right to use the service ceases immediately. We may delete your data after 30 days unless required by law to retain it.

11. Disclaimers

WHENWORKS IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee that our service will be uninterrupted, secure, or error-free.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SECOND SHIFT VENTURES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF WHENWORKS. Our total liability for any claim arising from these Terms or the service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

13. Indemnification

You agree to indemnify, defend, and hold harmless Second Shift Ventures and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the service, your violation of these Terms, or your violation of any rights of a third party.

14. Dispute Resolution

Any disputes arising from these Terms or your use of WhenWorks shall first be addressed through good-faith negotiation. If we cannot resolve the dispute informally within 30 days, either party may pursue binding arbitration administered by a mutually agreed arbitration provider. You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action must be brought in the state or federal courts located in Delaware.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting a notice on our website and updating the "Last updated" date. Your continued use of the service after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the service.

17. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Second Shift Ventures regarding WhenWorks.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Our failure to enforce any right does not waive our right to enforce it later.
  • Assignment: You may not assign these Terms without our consent. We may assign our rights to any successor.
